If a property purchase depends on approval or a declaration under land transfer rules, the contract should say so expressly. Otherwise payment, registration and unwinding can diverge.

This is not a general overview of land transfer law. It deals only with the contract condition, document duties, escrow release and the way back if approval is refused.

From a legal perspective, it must be clear before signing who provides which documents, when the condition is fulfilled and what happens to steps already taken.

If the draft remains general, it should be revised before signing. Depending on the situation, a condition, purchase price retention, seller assurance or clear handover mechanism may be appropriate.

Draft approval as a condition

The contract should clearly state whether effectiveness, registration or escrow release depends on the required land transfer declaration or approval.

A mere reference to the authority is usually not enough. The decisive point is the consequence of a negative result.

Allocate documents and responsibility

Depending on the property, identity evidence, intended-use declarations, zoning, the draft contract or further documents may be required. The contract should allocate who obtains them.

The parties should not leave document duties open because this can block registration.

Do not release escrow too early

Escrow should release the purchase price only when the land transfer requirements are clarified. Otherwise the buyer pays although ownership is not secured.
