A condition precedent provides that the contract effects or the settlement continue only once a defined event has occurred. In property transactions this often concerns approvals, financing or documents outside the immediate control of one party.
The condition should describe the event, who obtains proof, the deadline and the consequence if the condition is not met.
The escrow handling must match the condition. The purchase price should not be released while a condition remains open that affects ownership or the feasibility of the purchase.
