An Austrian property purchase may expressly reserve the seller’s right to prefer a better buyer. The final effect of the transaction then depends on whether another buyer appears within the agreed period with an offer the seller considers better.

The legal consequence depends on whether the property has already been handed over. Before handover, the effectiveness of the transaction remains suspended until the condition occurs. After handover, the purchase contract has been completed but may be dissolved when the condition occurs.

This article deals only with the statutory better-buyer reservation under sections 1083 to 1085 ABGB. A financing condition, a right of first refusal and withdrawal for payment default serve different purposes and must be examined separately.

Set out in writing whether the seller may prefer a later buyer, which event triggers the clause and what happens to price, handover and any unwinding. A general reference leaves the decisive contractual intention open.

The binding period cannot yet be determined with certainty.

Check when the period begins, when it ends and whether the contract contains an express time limit. Section 1084 ABGB provides an interpretative rule where no time has been expressly specified. Assuming an unrestricted period does not create a secure contractual basis.

Before handover, the contractual effect remains suspended.

If the express reservation applies and the property has not been handed over, the effectiveness of the transaction remains suspended until the condition occurs. Before payment and handover, establish whether a new buyer has appeared within the agreed period.

After handover, the completed purchase may be dissolved.

Under section 1084 ABGB, handover completes the purchase contract. The condition may then dissolve it. Use the statutory rules and the contract to assess use of the property, use of the money, improvements and deterioration during the unwinding.

What a better-buyer reservation requires

Section 1083 ABGB covers the situation in which the seller may prefer a better buyer within a specified period. The clause therefore needs a recognisable reservation and a determinable period. The seller’s later dissatisfaction with the agreed price does not create this right by itself.

The contract should also show what makes the later purchase better. Section 1085 ABGB leaves the assessment to the seller. The seller may prefer the second buyer even if the first buyer offered to pay more. This distinguishes the clause from ordinary renegotiation of the purchase price.

The reservation must be kept separate from other conditions. A financing condition protects the buyer’s financing. A right of first refusal gives a person entitled to it a specific position if the owner sells to a third party. The better-buyer reservation regulates the seller’s initial commitment to a possible later buyer.

Why handover changes the legal consequence

Before handover, section 1083 ABGB suspends the effectiveness of the purchase until the condition occurs. The parties should therefore establish whether possession, money or another economic benefit has already moved and how escrow arrangements deal with it.

After handover, section 1084 ABGB treats the purchase contract as completed. The condition may dissolve it again. This is a different consequence from the initial suspension of the contract’s effect and should be addressed expressly in the contract and handover record.

For property transactions, handover may involve several acts. Keys, possession, payment and registration in the land register do not necessarily occur on the same day. The contract should state which handover is relevant to the clause and how the individual steps are proved.

The actual consequence depends on the contract, handover and the events that occurred.

How to document the period and later buyer

The contract should define the period as precisely as possible. Review its start, end, notice requirements and the point at which an offer qualifies as better. A general statement that another interested buyer may appear is not a complete agreement.

For the assessment under section 1085 ABGB, preserve the offers and their terms. A higher price may matter, but it need not be the only criterion. Solvency, conditions, handover date and other contractual risks may also influence the seller’s decision. The agreed criteria must be read from the particular contract.

If dissolution is alleged, preserve the later offer, its receipt, the seller’s decision and the communication with the first buyer. A later assertion without a reliable record makes both legal and economic unwinding more difficult.

What follows when the property purchase is dissolved

Section 1085 ABGB provides that use of the property and use of the money are set off against each other when the contract is dissolved. The unwinding must therefore address who used the property, which benefits were drawn and how the purchase price is returned or accounted for.

For improvements and deterioration, the buyer is treated as a bona fide possessor under the statute. That standard does not answer every detail of the final amount. Works, damage, running costs and changes should be recorded with invoices, photographs and a joint condition report.

Unwinding the first purchase and contracting with the later buyer are separate steps. Price, possession, land register, release of encumbrances, taxes and escrow must be coordinated. Treating the two transactions as one automatic process creates additional risk.

Practical point: Review the reservation together with price maturity, escrow and handover. The purchase-contract review and the withdrawal rules address different questions.

Can a seller simply choose a better buyer after signing a property purchase contract? +

That requires an express clause reserving a better-buyer option. A later higher offer alone does not create the right.

What does handover change? +

Is there always a fixed period? +
