Sometimes final registration of ownership in a property purchase is not possible yet. A document, approval or formal requirement is missing although buyer and seller already want to bind themselves.

This article deals with the special case of provisional registration and later justification. It does not repeat general articles on priority notice, consent to registration or land register filing.

From a legal perspective the key question is whether provisional registration actually protects the buyer and how escrow, payment and missing documents are aligned with it.

The document basis is not sufficient yet.

Request the missing documents first. Without them, it is not possible to assess whether purchase price, escrow, handover or land register security are properly regulated.

A binding offer should not leave this gap open.

The basis is documented, but the contract must be read carefully.

If documents and draft contract match, the starting point is better. Still check maturity, assurance, retention, withdrawal right and handover consequences in detail.

The risk is not sufficiently protected in the contract yet.

If the draft remains general, it should be revised before signing. Depending on the situation, a condition, purchase price retention, seller assurance or clear handover mechanism may be appropriate.

Do not confuse provisional and final registration

Provisional registration is not the same as final registration of ownership. It may be an interim step where full registrability is not available yet.

Plan justification and missing documents

Provisional registration is useful only if it is clear how it will later be justified. Missing documents must not remain open.

The contract should identify which document is missing, who obtains it and how the land register route will be prepared. It should not assert a deadline that has not been checked for the concrete case.

Without this plan, the buyer may feel protected although final registration remains uncertain.

Think priority and escrow together

Priority questions and escrow release belong together. Paying before priority or justification is clarified creates unnecessary completion risk.

Adapt the contract to the special case

A standard contract may not be enough where provisional registration is used. The draft should address missing documents, justification steps, costs and withdrawal consequences.

If justification fails, the contract needs a clear solution for escrow, return of documents and steps already taken.

No. It can be an interim step but does not automatically replace final registration. The decisive point is later justification.

When does provisional registration make sense? +

Where registration is not fully possible yet and the further route is regulated clearly in the contract. Without a plan for missing documents, it is risky.

Should escrow release after provisional registration? +

That depends on the concrete security. Release should not depend only on the word provisional, but on priority, justification and agreed evidence.
